Terms and Conditions for BAD Vendor
Welcome to BAD Vendor! These terms and conditions outline the rules and regulations for the use of our services at badvendor.net. By accessing this website and using our services, you agree to comply with and be bound by the following terms and conditions.
Service Overview:
BAD Vendor specializes in creating explainer videos. We offer three main types of videos:
Library-Based Animation: These videos use pre-existing graphics and scenes. Customization of characters, backgrounds, or properties is not possible. Source files are not provided as these videos use third-party tools with inbuilt libraries.
Semi-Customized Videos: These videos are created using public or third-party libraries (e.g., Freepik, Shutterstock). Customization is possible to an extent as per client requirements.
Fully Customized Animation: These videos are entirely tailor-made as per client specifications, with every element created from scratch.
Production Process:
Our production process includes Script Writing, Visual Description, Storyboarding, Voice Over Recording, Illustration, Animation, Rigging, Delivery Draft, and Final Delivery.
Payment:
Payments can be made via Stripe, bank transfers, PayPal, Instamojo, or other available payment gateways. The choice of payment gateway depends on the client's convenience.
Refund Policy:
Refunds are processed on a step-approval basis. Once a step is approved, no changes are possible for orders valued at less than $500.
Specific refund policies are applicable as per the project. These will be clearly outlined in the proforma invoice and the terms and conditions mentioned therein.
For certain projects, particularly specific types of explainer videos, we offer a refund promise, which will be conveyed to the client via the proforma invoice.
Refunds are subject to the terms mentioned in the proforma invoice.
No refunds can be claimed once the final draft without a watermark is received by the client.
Deadlines and Guarantees:
For fully customized and semi-customized videos, a 3x money-back guarantee is provided if we fail to meet the agreed deadline. This guarantee is applicable after storyboard approval.
For library-based animations, the guarantee applies after voice-over approval.
The guarantee is subject to no dependencies from the client's side, ensuring the first draft is delivered on time.
Proforma Invoice:
Clients are required to pay only after receiving and reviewing the proforma invoice.
The proforma invoice will detail all terms and conditions specific to the project.
Acceptance of the proforma invoice is considered acceptance of all terms and conditions for that specific project.
Approval and Changes:
Once any production step (Script Writing, Visual Description, Storyboarding, etc.) is approved by the client, no changes will be possible. Clients must ensure everything is to their satisfaction before giving approval.
If the client is not satisfied with the first draft, they must notify us via email within 7 days of receiving it for a refund to be processed. This condition must be specified in the proforma invoice.
Lifetime Support:
We offer lifetime support for minor changes in the video (not including voice-over or script changes).
The definition of 'minor changes' is at the discretion of the company and its experts.
This service is based on mutual understanding and can be revoked if such understanding is not maintained.
Video Replacement for Lead Generation:
Replacement is available for videos used for lead generation if the engagement or watch time is less than 70%.
The client may need to provide proof of this metric or bear the cost of advertisement for the company to verify it.
This term is void if the client insists on their own style against our expert advice.
Respect for Expertise:
Clients must respect and consider the company's expertise during the video creation process.
Refund and other terms are applicable only if there is mutual understanding and respect for the company's expertise.
Outsourcing and Vendor Suggestions:
To meet client requirements and deadlines, we may suggest vetted vendors or outsource to another vendor.
The company has an in-house team but reserves the right to outsource if necessary.
Source File Delivery:
Source files are available for semi-customized and fully customized videos upon request and at an additional cost.
Source files are not available for library-based animations.
For package deals (monthly, quarterly, or annual), source files are not included and can be requested at an extra cost, subject to company approval.
Video Licensing and Renewal:
Each video comes with a 1-year license.
After 1 year, a renewal fee of 20% of the original invoice amount per video is required to continue using the video.
Other Terms:
These terms are in addition to the general terms and conditions previously outlined.
All terms are subject to the specific agreements made in the proforma invoice.
By using our services, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions.
Limitation of Liability:
BAD Vendor shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with the use of our services.
Intellectual Property:
The intellectual property rights of the created videos will be as per the agreements made in the proforma invoice. For library-based animations, the rights are subject to the terms of the third-party libraries used.
Amendments:
We reserve the right to amend these terms and conditions at any time. Continued use of the website and our services after any such changes shall constitute your consent to such changes.
Governing Law:
These terms and conditions are governed by and construed in accordance with the laws of the jurisdiction in which BAD Vendor operates.
